Notion Fund V and Mara's SPV Solution

Notion Capital, one of Europe’s most reputable venture capital firms known for its focus on high-growth European tech companies, faced a unique challenge as they prepared for the final close of Notion Fund V. Recognising the value of engaging portfolio company executives directly in the fund, Notion sought to enable these key individuals to invest alongside them. However, the administrative and compliance complexities associated with individual investor onboarding presented significant hurdles. 

Challenge

Before partnering with Mara, Notion struggled with the high costs and complex compliance requirements of accepting investments from individual executives directly into their fund, which would have been too time consuming and costly. Notion had no efficient solution in place to onboard investors while adhering to strict regulatory standards. 

Mara's Solution

Mara provided a comprehensive solution that addressed each of these challenges effectively: 

SPV Structuring at Lower Costs: By offering SPV structuring services at more competitive rates, Mara enabled Players Fund to engage in direct deals without excessive overhead. 

Regulatory and Domicile Guidance: Mara’s expert guidance was able to navigate the non-standard terms and practicalities that Players Fund sought for each deals, including some commercial guidance on some of the terms.  

Tax considerations: some of the investments were made into US companies which poses tax complications for non-US investors, but Mara was able to facilitate the completion of the necessary tax documentation by investors and sharing with the end companies for the purpose of avoiding Withholding Tax.  

Streamlined Investor Onboarding: Mara leveraged its digital platform to expedite the KYC process and regulatory questionnaires, ensuring that all investors, especially those from the U.S, were onboarded quickly and compliantly. 

Process

Mara was introduced to Notion through a referral from another fund, after which we presented a specialised solution through our Feeder as a Service (FaaS) concept. Mara’s platform streamlined the onboarding process, enabling individual investors to engage with the fund quickly and efficiently. The service included: 

  • A simplified digital platform for reviewing fund materials and completing regulatory questionnaires digitally. 
  • Efficient collection and processing of KYC documentation, tailored to meet the needs of individual investors, including those operating through personal investment entities. 
  • Coordination with Notion’s fund administration and legal teams to ensure compliance with all regulatory requirements, and providing reassurance on the KYC checks. 

Impact and value proposition

Mara’s intervention ensured Notion was able to onboard ten individual investors from diverse European backgrounds including German, French, Dutch, and Swiss nationals. This not only facilitated significant cost savings for Notion, but also deepened the relationships between Notion and its community of investors. The process reinforced investor confidence, as evidenced by the seamless integration and compliance assurances provided by Mara.
